03Acceptance & eligibility
By using the Website or engaging our Services you confirm that you have read, understood and agree to these Terms, together with our Refund Policy and Privacy Policy, which are incorporated by reference.
You must be at least 18 years old and have the legal capacity to enter into a binding contract. If you engage us on behalf of a business or other legal entity, you represent that you are authorised to bind that entity to these Terms.
We may decline to provide Services where doing so would breach applicable law, sanctions or professional obligations.
04Scope of services
We provide two related types of Services.
Project management
Defining project scope and objectives; developing plans, schedules and budgets; coordinating teams, vendors and stakeholders; monitoring progress; managing risks and issues; and reporting on status through to project handover. The precise scope of any Engagement is set out in the applicable Proposal or Statement of Work, and anything not expressly included is outside scope.
Training & educational programs
Professional training, workshops and educational programs in project planning, execution, organization and business management, delivered primarily online in live and/or self-paced formats. Program descriptions on the Website set out the format, content outline, duration and any prerequisites.
Programs are provided for professional and educational purposes. We do not guarantee any specific certification, qualification, employment or business outcome, and any certificate of completion we issue confirms participation, not accreditation by a third party unless expressly stated.
05Engagement, proposals & enrolment
For project management, an Engagement begins when we and the Client agree a Proposal or Statement of Work, whether by signature, written confirmation or email acceptance. That document, together with these Terms, forms the agreement for that Engagement. If there is any conflict, the Proposal or Statement of Work prevails for that Engagement, except in relation to liability, governing law and other core provisions, where these Terms prevail.
For training and educational programs, your enrolment is confirmed when we accept your registration and, where applicable, payment is received. Access to a Program is granted to the named Participant only and may not be shared, resold or transferred without our consent. We may set a reasonable period during which online materials remain accessible, as stated in the Program description.
Estimates of effort, timelines and completion dates are made in good faith based on information available at the time and may be affected by the Client’s inputs, approvals and third-party dependencies. We may reschedule or substitute a trainer, session or comparable Program content where necessary, and will notify affected Participants.
06Client responsibilities
To enable us to deliver the Services, you agree to:
- provide accurate and complete information and timely access to relevant people, systems and materials;
- make available a responsible contact with authority to give approvals and decisions;
- review and respond to requests for approval or feedback within agreed timeframes;
- obtain any licences, consents or permissions required for the project; and
- perform your own obligations and those of your other suppliers on time.
Delays or failures in your responsibilities may affect timelines, deliverables and fees. We are not liable for delays or additional costs caused by your acts or omissions or those of your other suppliers.
07Fees & payment
Fees for the Services are set out in the applicable Proposal or Statement of Work and may be charged on a fixed-fee, milestone, retainer or time-and-materials basis. Unless stated otherwise, fees exclude expenses and applicable taxes, which are charged in addition.
Invoices are payable within the period stated on the invoice or in the Proposal. Payments are processed through third-party payment providers, and your use of those services may be subject to their own terms.
We may suspend Services on overdue amounts after giving notice. Late payments may incur interest or charges to the extent permitted by law. You are responsible for any taxes, duties or withholdings that apply to the fees.
08Changes & variations
Either party may request a change to the scope, timeline or deliverables of an Engagement. Changes take effect only when agreed in writing. Where a change affects effort, cost or timing, we will provide a revised estimate and the agreement will be adjusted accordingly before the change is implemented.
09Deliverables & acceptance
We will provide the Deliverables described in the Proposal. Where an acceptance process is specified, you will review Deliverables within the agreed period and either accept them or provide specific written notice of any way in which they do not meet the agreed criteria.
If you do not respond within the agreed period, the Deliverable is deemed accepted. Acceptance criteria relate to the agreed scope; requests beyond that scope are handled as changes under section 08.
10Cancellation & refunds
Cancellation of an Engagement and any refunds are governed by our Refund Policy, which forms part of these Terms. Please review it before engaging our Services. Nothing in these Terms or the Refund Policy affects any mandatory statutory rights you may have under applicable law.
11Third parties & subcontractors
We may engage subcontractors or use third-party tools and services to deliver the Services, and we remain responsible for the parts of the Services we agree to provide. We are not responsible for the acts, omissions, content or performance of third parties engaged directly by the Client, or for third-party platforms outside our control.
12Confidentiality
Each party may receive confidential information from the other. Each party agrees to keep the other’s confidential information secret, to use it only for the purpose of the Engagement, and not to disclose it to third parties except to those who need it and are bound by similar obligations, or where disclosure is required by law.
These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed. Confidentiality obligations survive completion or termination of the Engagement.
13Intellectual property
Each party retains ownership of intellectual property it owned before the Engagement. Unless the Proposal states otherwise, upon full payment we assign or license to you the rights in the Deliverables created specifically for you under that Engagement, to the extent needed for you to use them for their intended purpose.
We retain ownership of our pre-existing materials, methodologies, templates and know-how, and may continue to use general skills, experience and knowledge gained during the Engagement.
Program materials. All training and course materials — including videos, slides, workbooks, templates and other content — remain our property or that of our licensors. On enrolment we grant the Participant a limited, personal, non-exclusive, non-transferable licence to access and use the materials for their own learning. You may not record, copy, redistribute, publish, resell or use the materials to deliver competing training, except as expressly permitted by us or by law.
Website content — including the OCTANIUM name and marks, text, graphics and layout — is owned by or licensed to the Company and may not be reproduced without our written consent.
14Warranties & disclaimers
We will provide the Services with reasonable skill and care and in a professional manner. Except as expressly stated in these Terms and as required by applicable law, the Website and Services are provided on an “as is” and “as available” basis, and we make no other warranties, whether express or implied, including implied warranties of fitness for a particular purpose.
Because project outcomes depend on many factors outside our sole control — including the Client’s inputs, decisions and third parties — we do not warrant any particular commercial result. We do not warrant that the Website will be uninterrupted, error-free or secure.
15Limitation of liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data, goodwill or business, arising out of or in connection with the Website, the Services or these Terms.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with an Engagement shall not exceed the total fees paid by you to us for that Engagement in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
16Indemnification
You agree to indemnify and hold harmless the Company and its directors, officers, employees and agents from and against any claims, losses, liabilities and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Website or Services, the information or materials you provide, or your violation of any law or third-party right.
17Data protection
We process personal data in accordance with our Privacy Policy and applicable data-protection law. Each party will comply with its obligations under applicable data-protection law in relation to any personal data shared for the purpose of the Engagement. Please review the Privacy Policy to understand how we collect, use and protect information.
18Force majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, government action, epidemic or pandemic, labour disputes, utility or internet outages, or failures of third-party providers.
19Term & termination
An Engagement continues until the Services are completed or it is terminated in accordance with these Terms or the Proposal.
Either party may terminate an Engagement for material breach that is not remedied within a reasonable period after written notice, or immediately if the other party becomes insolvent or ceases to trade. On termination, you will pay for Services performed and expenses incurred up to the termination date. Provisions which by their nature should survive — including confidentiality, intellectual property, disclaimers, limitation of liability, indemnification and governing law — survive termination.
20Governing law & disputes
These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation, are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to conflict-of-laws principles.
The courts of Dubai, United Arab Emirates shall have exclusive jurisdiction. Before commencing proceedings, the parties will attempt in good faith to resolve any dispute amicably by contacting support@octanium.solutions.
21Changes to these Terms
We may update these Terms from time to time. The version in force when an Engagement is agreed applies to that Engagement. Changes take effect when posted on the Website with a revised “Last updated” date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
22General provisions
Entire agreement. These Terms, together with the applicable Proposal, the Refund Policy and Privacy Policy, constitute the entire agreement between you and us regarding the Services.
Severability. If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign your rights under these Terms without our consent. We may assign or transfer our rights and obligations to an affiliate or successor.
Language. These Terms are provided in English. Where a translation is provided and a conflict arises, the English version prevails, unless applicable law requires otherwise.
